第四条开立和生效 的学习笔记
条款-
a．保函一旦脱离担保人的控制即为开立。
b．保函一旦开立即不可撤销，即使保函中并未声明其不可撤销。
c．受益人有权自保函开立之日或保函约定的开立之后的其他日期或事件之日起提交索赔。

学习笔记:
Issue and effectiveness
a. A guarantee is issued when it leaves the control of the guarantor.
b. A guarantee is irrevocable on issue even if it does not state this.
c. The beneficiary may present a demand from the time of issue of the guarantee or such later time or event as the guarantee provides.
二、理解重点
担保人将保函交予其代理人或托管人或通知行，都不视为脱离其手，保函仍处于担保人的控制之内，在此时，担保人随时可以将保函撤回而不用承担责任。而当保函离开担保人或其代理或通知行时，或直接通过独立承运人转交受益人一方时，保函才真正脱离担保人控制，才宣告开立。
三、实务
保函并非在任何情况下都一经开立就可以索赔，如果包含本身规定只能自开后某时间起或某时间起索赔，则保函开立之后并不能马上索赔：
1.自保函开立之时
2.自保函开立之后的某时间起：
+The beneficiary is entitled to present demand as of Oct.20,2019.
3.自保函开立之后的某事件起：
+This guarantee shall become effective upon receipt of the advance payment by the Principal/Applicant into its account XXXX held with us.
+Demand may only be made only when the applicant has presented us a certificate certifying that the machine supplied by the beneficiary is in good condition.
四、练习题
AA Bank is instructed to issue a demand guarantee in favor of BB Enterprise co ltd. On 1 June. The demand is delivered to DHL on 2 June. Then it is dispatched to DD Bank which is advising bank on 4 June.DD Bank release this guarantee on 7 June and at the next day BB received it.
